H.B. Fuller, the world's largest pureplay adhesives company, seeks a skilled AP Paralegal to enhance the quality, safety, and performance of its products. As a key member of the Law Group, this role will focus on research, commercial agreements, and compliance matters.
Key Responsibilities
Research and Commercial Agreements (45%)
Conduct thorough research on new and updated laws and regulations, identifying relevant judicial decisions, statutes, and other pertinent materials. Organize, analyze, and validate information to ensure accuracy and compliance.
Develop and maintain confidentiality and transactional agreement request and review processes for the Law Group, providing training to all levels within the Company. Ensure compliance requirements are incorporated into the process and ongoing support is provided to teams.
Assist in drafting and reviewing a wide range of AP commercial contracts, including confidentiality agreements, purchase or supply contracts, distributors, agents, consignment stock, or contract manufacturing agreements.
Act as an alternative, proactive legal point of contact for the business and functions, providing advice on legal risk and supporting other attorneys on drafting and reviewing agreements as necessary. This includes advising on compliance and data privacy issues from a commercial, contractual perspective.
Compliance (35%)
Serve as a regional compliance champion, working closely with the AP Senior Regional Counsel and Assistant General Counsel (Ethics & Compliance) to support the Company's compliance needs. Help implement, monitor, and raise awareness of corporate compliance policies and programs within the respective business and functions.
Participate in and support the implementation of H.B. Fuller's new third-party compliance program across the AP region, including the use of software for process management and due diligence relating to distributors, agents, and other third-party intermediaries.
Support the development and delivery of training to the business and functions on key compliance procedures and topics, including anti-corruption, export controls, third-party compliance, conflicts of interest, and understanding of the Code of Business Conduct and Core Policies.
Other Administration and Organization General Matters (20%)
Support AP document management systems relating to contracts, law firm invoices, department record keeping, and interface with the Global legal team on Legal departmental initiatives. Assist with archiving completed matters, including preparing boxes of documents for archives and submitting them to archives.
Support special projects, related legal research, due diligence for mergers & acquisitions, assisting with forming and/or dissolving entities, and applying for authority to do business in certain countries. Maintain all records and files on an ongoing basis.
As needed, serve as backup for other transactional, compliance, and subsidiary management duties in the Law Department as it may operate globally.
