Main tasks and responsibilities

Company Secretarial Activities And Corporate Governance

• Manage all corporate and secretarial activities for the Chinese legal entities and branches of the group, including drafting, in coordination with the other relevant functions, of the legal documentation relating to (i) ordinary and extraordinary shareholders' meetings; (ii) board of directors' meetings; (iii) corporate transactions, such as acquisitions, sales, capital increases, mergers, demergers;
• Ensure that the corporate governance of the Chinese legal entities of De Nora Group is compliant with the relevant Chinese law provisions and is consistent with the overall group corporate governance
• support and advise the managing directors and the other functions of the Chinese legal entities of De Nora Group to ensure compliance with the Chinese law provisions;
• Work with the Chief Legal Officer and the Compliance Manager on governance issues, including implementation at local level of the global policies adopted at corporate levels, including anti- bribery policies, export control procedures, whistleblowing policy

Contracts and M&A

• Drafting and negotiation of international and national commercial contracts including non- disclosure agreements, supply, maintenance and sale agreements, lease agreements, test agreements, providing guidance on contract risk and legal and liability issues, liaising with Corporate legal department on contract matters;
• Day by day assistance to business requests (e.g. providing legal analysis and opinions, management of legal claims, drafting letters of intent, memoranda of understanding, and other documents)
• Claims and litigation management and drafting of settlement agreements.
• Monitor ongoing developments in legislation, case law and regulatory guidance relevant for the business of the Chinese legal entities of the Group;
• Provide general legal/risk mitigation advice to multi-functional teams on miscellaneous matters, such as commercial contracts, joint ventures and project disputes;
• Working closely with the Chief Legal Counsel in M&A transactions involving the Chinese legal entities of the Group.

Education and professional experience

• Degree in law
• Qualified to practice law in China is a plus.
• 8+ years of post-qualification experience advising on corporate law matters and on contract drafting and negotiations at a law firm or in-house.
• Exceptional judgment and impeccable integrity with excellent communication skills.
• Fluency in speaking, reading and writing in English. Previous experience in multinational environments and ability to work and interact with people from different jurisdictions.
• Experience leading and multitasking on competing projects and priorities in a fast-paced work.
