Senior Legal Counsel（Investments
About the Company
A global digital asset technology platform with a diversified business footprint across multiple markets and strategic initiatives. The company is actively involved in investment, partnership, and transaction-related projects that require strong legal execution, commercial judgment, and cross-border coordination. The Role This role will provide end-to-end legal support for equity investments, strategic partnerships, and complex transaction scenarios. You will work closely with business teams, finance, compliance, and external counsel across transaction structuring, legal due diligence, document drafting, negotiation, and closing. The role is highly business-facing and suited to a legal professional who can combine technical legal depth with commercial understanding and disciplined execution. The role also offers the flexibility to work from any city globally.
What You'll Do
· Lead legal support for equity investments, strategic partnerships, and complex transaction projects from structuring through closing.
· Assess legal risks, advise on transaction structures, and provide practical solutions that enable projects to move forward efficiently.
· Draft, review, and negotiate transaction documents, including term sheets, subscription agreements, share purchase agreements, LPAs, side letters, and SPV-related documents.
· Conduct legal due diligence on target assets, ownership history, transaction chains, compliance status, and potential legal exposure.
· Build standardized transaction document templates and internal legal support mechanisms to improve execution efficiency.
· Coordinate internal business, finance, and compliance teams with external law firms to manage cross-jurisdictional project timelines and deliverables. What We're Looking For Must-haves
· Bachelor’s degree or above in law, with a recognized legal professional qualification.
· Strong legal experience in investments, M&A, private equity, corporate finance, or strategic transactions.
· Proven ability to independently draft, review, and negotiate complex transaction documents.
· Solid understanding of equity investments, fund structures, SPV structures, and common transaction models.
· Familiarity with legal risks and compliance requirements in cross-border investments and corporate transactions.
· Fluent English and Chinese, with the ability to handle bilingual legal documents and communicate with domestic and international counterparties. Strong-to-haves
· Experience with Hong Kong or overseas capital markets.
· Legal experience in fintech, internet technology, innovative businesses, complex equity transactions, special asset transactions, or cross-border investments.
· Background from a top-tier law firm or a well-known in-house legal team.
