Position Summary

Provide senior paralegal support to lawyers within the Cabot Law Department by preparing agreements (e.g. distributor, confidentiality agreements) and documents for review, updating and maintaining corporate entities, conducting legal research, handling filing of documents with government agencies, assisting with litigation case management, assisting with contracts/procurement, organizing documents, assisting with the corporate record retention policy, and assisting in corporate mergers and acquisitions.

Provide support for IP enforcement actions and other IP law related initiatives in the region by liaising with external counsels and government agencies and coordinating internal investigations, managing employee confidentiality and non-compete agreements, implementation of employee invention policy, etc.

Job Responsibilities, 工作职责

· Draft agreements, resolutions and other legal documents for attorney review.
· Maintain contract, corporate governance, and other regulatory compliance files, including organizing and indexing of files.
· Prepare filings, track litigation, and provide other litigation support. Act as liaison with designated outside counsel and paralegal staffs. Provide notice of new cases to insurers.
· Assist in due diligence activities and coordination of closing deliveries for transactions.
· Perform legal and other research as needed.
· Assist with updating and otherwise maintaining corporate entities and subsidiaries with attorney supervision.
· Prepare and maintain minute books and corporate resolutions with attorney review.
· Plan compliance training with attorney. Work with the various sites in Asia to set up trainings, update materials and work with the sites' HR regarding participation, printout, homework, and surveys, etc.
· Maintain regular contact with IP agents to identify any potential infringement of Cabot’s IP rights in the region
· Liaise with external IP counsels and coordinate internal efforts for IP enforcement actions
· Work with local IP counsel to provide support on evidence collection, document preparation
· Coordinate internal stakeholders (sales, quality, technical, etc.) to collect evidence, prepare case materials and comply with court's requirements
· Liaise with court directly to answer questions, facilitate proceedings and manage relationships

· Takes independent actions and calculated risks; Asks for and offers help when needed.
· Fluency in written and spoken Chinese and English.
 

Education/Experience
· Undergraduate university degree.
· A minimum of five years previous paralegal experience in law office or corporate legal department required.
