Job Summary:

We are seeking a highly skilled Legal & Compliance Counsel to join our team in Shanghai. As a key member of our APAC compliance team, you will be responsible for providing legal and commercial advice to our China business, ensuring compliance with applicable laws and regulations. You will also lead the implementation of our global compliance program in the APAC region, promoting a culture of integrity and ethics.

Key Responsibilities:

Legal & Commercial (China)

  • Negotiate, draft, and review corporate and commercial contracts.
  • Counsel business clients on legal and commercial matters, ensuring compliance with applicable laws and regulations.
  • Support daily business operations, regulatory processes, and investigations.
  • Advise on risk mitigation strategies and provide general corporate governance support.
  • Resolve legal and non-legal issues through negotiation and legal expertise.
  • Structure, negotiate, and advise on business transactions, labor, and employment matters.
  • Initiate, defend, negotiate, settle, and manage litigation and disputes.
  • Provide professional legal advice, conduct training, and disseminate legal policies and requirements.
  • Effectively manage external counsel and consultants.

Business Integrity and Compliance (APAC)

  • Lead the implementation of our Ethics and Compliance program in the APAC region.
  • Provide ethics, business conduct, and compliance training to business units.
  • Render guidance and advice on global and local compliance policies.
  • Lead investigations into potential violations of law or policy.
  • Review standard commercial procedures to mitigate risks.
  • Plan and execute projects consistent with Corporate's compliance initiatives.
  • Organize and host Business Integrity and Compliance meetings in APAC.

Requirements:

  • LL.B. or higher degree from an accredited university.
  • Admitted to practice law in China.
  • Minimum 6 years post-admission legal and/or compliance practice experience.
  • In-house experience in a large multinational company and/or commercial practice experience in a top-tier law firm is preferred.
  • Strong written and verbal communication skills in English and Chinese.
  • Broad knowledge of all legal areas and in-depth knowledge of commercial and compliance laws and regulations.
  • Ability to draft legal documents, contracts, policies, and messages in a clear and concise manner.
  • Recognized compliance certification, such as CCEP, CCEP-I, CIPP, preferred.
  • Ability to accurately identify key issues and apply a high standard of integrity, professionalism, business ethics, legal, and compliance knowledge.
  • Willingness to travel domestically and regionally.
