Job Title: Legal & Compliance Counsel

Job Summary:

We are seeking a highly skilled Legal & Compliance Counsel to join our team at Ingredion Trading (Shanghai) Limited. As a key member of our legal department, you will be responsible for providing legal and commercial advice to our business units in China, as well as promoting a culture of integrity and compliance throughout the Asia Pacific region.

Key Responsibilities:

Legal & Commercial (China)

  • Negotiate, draft, and review corporate and commercial contracts.
  • Counsel business clients on legal and commercial matters, ensuring compliance with applicable laws and regulations.
  • Support daily business operations, regulatory processes, and investigations.
  • Advise on risk mitigation strategies and provide support on general corporate matters.
  • Resolve legal and non-legal issues through negotiations and legal expertise.
  • Structure, negotiate, and advise on business transactions, labor and employment matters, and regulatory issues.
  • Initiate, defend, negotiate, settle, and manage all litigation, disputes, and actions related to business operations in China.
  • Provide professional legal advice, conduct trainings, and disseminate legal policies and requirements to business units.
  • Effectively manage the use of external counsels and/or consultants.

Business Integrity and Compliance (APAC)

  • Provide leadership for the implementation of the Company's Ethics and Compliance program and promote a culture of integrity in the region.
  • Serve as the primary compliance counsel to the region and provide ethics, business conduct, and compliance training.
  • Lead and conduct investigations into potential violations of law or policy.
  • Review standard commercial procedures to mitigate risks for business units.
  • Plan and execute multiple short-term and long-term projects consistent with Corporate's compliance initiatives.
  • Organize and host Business Integrity and Compliance meetings in APAC.
  • Serve as a member of the Global Business Integrity team representing APAC.

Requirements:

  • LL.B. or higher degree from an accredited university.
  • Admitted to practice law in China.
  • Minimum 6 years post-admission legal and/or compliance practice experience.
  • In-house experience in a large multinational company and/or commercial practice experience in a top-tier law firm is preferred.
  • Strong written and verbal communication skills in English and Chinese.
  • Broad knowledge of all legal areas and in-depth knowledge of commercial and compliance laws and regulations.
  • Ability to draft legal documents, contracts, policies, and messages in a clear and concise manner.
  • Recognized compliance certification, such as CCEP, CCEP-I, CIPP, is preferred.
  • Ability to accurately identify key issues and consistently apply a high standard of integrity, professionalism, business ethics, legal, and compliance knowledge.
  • Must be willing to travel domestically and regionally.
