Senior Manager, Compliance

JOB SUMMARY:

This position will be responsible for compliance related legal matters (including anti-corruption, anti-bribery, anti-embezzlement, anti-commercial fraud, regulatory compliance and internal policy compliance), especially handling of compliance audits and investigations related to alleged regulatory violations and internal policy violations; assist in dealing with compliance of business operation (including certificates, government inspections, investigations and business rectifications); and handle commercial legal affairs (such as contract drafting, negotiation and providing legal advice for business operation) as well as commercial disputes, arbitration and litigation, etc. as required, reporting to the Sr. Compliance Director of Compliance of UBR MB, in partnership with business teams, and legal/compliance team in headquarter and JV corporate.

MAJOR RESPONSIBILITIES:

Build a sustainable compliance framework that places regulatory and compliance best practice standards, and a culture of appropriate conduct at the forefront of the business's agenda, including localization, updating and putting together adequate policies that can meet with applicable law and regulations as well as applicable NBCUniversal and JV’s policies.  Proactively work with Sourcing/Finance and relevant business teams to monitor and supervise the initiation and execution of procurement projects (including market survey, bidding process, vendor selection and engagement, commercial negotiations, and payment process), to ensure compliance with regulatory requirements, MB Procurement Policy, compliance policies (including Code of Conduct) and auditing requirements, and prevent corruptive acts.  Conduct compliance investigation policy and process for MB, in coordination with HQ Legal/Compliance team and JV Corporate Legal/Compliance, and conduct investigations into MB related cases. Working with Management Team and HR to take adequate and promote disciplinary actions against violations of regulations and/or company compliance policies.  Put together effective online and offline compliance related training programs on periodical basis to all MB team members.  Team work with HQ Legal/Compliance team and in coordination with JV Corporate Legal/Compliance for compliance background check on 3rd parties (partners, vendors, suppliers, contractors, etc.), manage 3rd party compliance requirements, and handle suspected 3rd party compliance violations that may impact UBR MB business.  Support the tracking and management of the regulatory compliance including obtaining and maintaining all required business licenses, permits and registrations (including renewal), and assist in handling regulatory/law enforcement inspections, investigations, rectification and penalties. Work closely with the business to provide timely regulatory compliance advice to ensure compliance with all relevant laws and regulations and support the transition to pro-active and pre-emptive compliance and conduct risk mitigation. Maintain independence, deliver timely responses, and timely escalation of compliance risks and issues where business conducts are suspected of violation of company policies or regulations.  Provide necessary support to the periodical updates to MB Management Team, HQ Compliance and JV Corporate for compliance related work progress, accomplishments and challenges.  May provide support to handling MB related commercial disputes including arbitration and litigations.  May provide support to commercial legal work as needed.

QUALIFICATIONS:

10+ year legal/compliance/risk control related work experience, including no less than 5 year experience in compliance investigations in China Mainland. Combination of working experience as attorney in elite law firm/accounting firm/investigation firm (or as investigator/ auditor/ police officer/ public attorney/ prosecutor/ judge in relevant law enforcement that handles white collar/economic crimes investigations, prosecutions or trials) and as inhouse counsel/compliance officer in large corporation is preferred. Compliance related working experience in both large MNEs and SOEs is strongly preferred. Prior experience in related entertainment, hospitality or theme park industry is preferred though not a must. Familiar with China Mainland compliance related laws, regulations, judicial guidelines and law enforcement practice, as well as applicable foreign anti-corruption laws including FCPA and UK Bribery Act. Strong business acumen, client support orientation, and influencing skills; able to establish credibility and rapport with all levels of management. Excellent skills in leadership; demonstrated ability to multi-task and balance numerous priorities in a fast-paced operational environment; hands-on work spirit is a must. Driven to successful outcomes, adaptive in times of change, and innovative in face of roadblocks. Native in Chinese and fluent in English. Both are working languages. Superior written and oral communication skills necessary for policy setting, compliance trainings, investigations, project management and status reporting. Open minded to new and creative solutions and proved ability to quickly learn new business and strategies.

EDUCATION:

Law degree from a top Chinese law school is required; Additional law degree or after-graduate legal training in renowned international law school is preferred; On-job compliance related training/certifications is preferred; China Mainland Bar or at least qualification for China Mainland Bar is preferred.
